Under the Jumpstart Our Business Startups (“JOBS”) Act, signed into law under the Obama administration in April 2012, questions have arisen regarding various applications of the Act.
The Securities and Exchange Commission (“SEC”) has been kind enough to provide guidance about the practical application of certain JOBS Act provisions. Some of those provision include clarifying (1) the definition of an “emerging growth company”, (2) the filing requirements of emerging growth companies, and (3) the impact of mergers & acquisitions activity on the definition of an emerging growth company.
